Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the organisation you represent) and Beezifi Inc. governing your access to and use of the IOM inventory and order management platform ("IOM" or the "Service"). By creating an account or using IOM, you agree to these Terms. Our Privacy Policy is incorporated by reference.

1 Agreement

By accessing or using IOM, you represent that you have the legal authority to enter into this agreement on behalf of yourself or your organisation. If you are using IOM on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not use the Service.

2 Description of Service

IOM is a cloud-based business operations platform offered by Beezifi Inc. that provides:

  • Real-time inventory management across multiple warehouses and locations
  • End-to-end order management — sales orders, purchase orders, and fulfilment
  • Warehouse execution: pick, pack, ship workflows with barcode and bin location support
  • Point-of-sale (POS) transaction management
  • Supplier and vendor management with purchase order tracking
  • Accounting integration with Xero and QuickBooks (journal entries, COGS, sync logs)
  • Automation rules, reorder alerts, and fulfilment triggers
  • Reporting, analytics, and data export
  • REST API access and webhook delivery
  • Role-based access control and full audit logging

Beezifi reserves the right to modify, add, or remove features at any time. Material changes that reduce existing functionality will be communicated with at least 14 days' notice.

3 Account Registration

Workspace Creation

Each organisation creates a single workspace ("Workspace"). All users belonging to that organisation access IOM through the shared Workspace. You are responsible for all activity that occurs under your Workspace.

Account Security

  • You must provide accurate and complete information when registering
  • You are responsible for maintaining the confidentiality of your credentials
  • You must notify us immediately at security@beezifi.com if you suspect unauthorised access
  • We recommend enabling TOTP two-factor authentication for all users with administrative access

One Workspace Per Organisation

Each organisation may maintain one active Workspace. Contact support@beezifi.com if your business structure requires multiple workspaces.

4 Subscription & Payment

Pricing

IOM is priced at $29 per user per month, billed in advance for your chosen block period (3, 6, or 12 months). All pricing is in AUD unless otherwise stated at checkout.

Billing Blocks

  • You purchase access in blocks of 3, 6, or 12 months
  • Additional months can be purchased at any time from within the platform — access stacks (e.g., buy 6 months today, add 3 more later)
  • No automatic recurring billing — you choose when to renew

Free Trial

New workspaces receive a 30-day free trial with full platform access. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription.

Refunds

We do not offer pro-rata refunds for unused subscription periods except where required by applicable consumer protection law. If you believe a billing error has occurred, contact billing@beezifi.com within 30 days of the charge.

Taxes

Prices are exclusive of applicable taxes (including GST). Tax will be added at checkout where required by law.

5 Acceptable Use

You agree to use IOM only for lawful business operations purposes. You must not:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorised access to any part of the platform or another organisation's Workspace
  • Probe, scan, or test the vulnerability of the platform without prior written authorisation from Beezifi
  • Introduce malicious code, viruses, or disruptive data into the Service
  • Use automated means to scrape or extract data beyond what the API permits
  • Resell or sublicense access to IOM without prior written consent from Beezifi
  • Use the Service to store or transmit data in violation of third-party rights, including intellectual property and privacy rights
  • Take any action that imposes an unreasonable or disproportionately large load on our infrastructure

Violations may result in immediate suspension or termination of your Workspace without refund.

6 Data Ownership

You retain full ownership of all business data you enter into IOM, including product records, order history, customer contacts, inventory data, and accounting entries ("Customer Data").

  • Beezifi does not claim any intellectual property rights over your Customer Data
  • We process your Customer Data solely to provide and operate the Service
  • We do not sell your Customer Data or use it for any purpose beyond the Service
  • You may export your Customer Data at any time from within the platform
  • Upon termination, we will retain your data for 30 days to allow export, after which it is permanently deleted

7 Integrations

IOM supports integrations with third-party services including Xero, QuickBooks, Shopify, Amazon, and others. Use of these integrations is subject to the respective third-party's terms of service and privacy policies. Beezifi is not responsible for the availability, accuracy, or conduct of any third-party service.

  • You are responsible for configuring integration sync settings correctly
  • Data transmitted to integrated services is governed by those services' policies
  • Beezifi will make reasonable efforts to maintain integrations but cannot guarantee their continued availability if third-party APIs change

8 API Access

IOM provides a REST API for programmatic access to your Workspace data. API usage is governed by these Terms and our API documentation.

  • API keys are credentials — treat them as passwords and do not expose them publicly
  • Rate limits apply to API endpoints to ensure service stability for all users
  • Beezifi reserves the right to throttle or suspend API access if usage disrupts platform operations
  • Webhooks are delivered on a best-effort basis; we recommend implementing retry logic for critical workflows

9 Uptime & Support

Beezifi aims to maintain high platform availability. We perform maintenance outside of peak business hours and provide advance notice for planned downtime where possible.

  • Support is available via support@beezifi.com
  • We target a response within 1 business day for standard requests
  • Security incidents should be reported to security@beezifi.com — marked "[URGENT]" for critical issues

We do not provide a formal SLA at the current pricing tier. Enterprise arrangements with uptime commitments are available — contact sales@beezifi.com.

10 Confidentiality

Each party agrees to keep the other party's confidential information confidential and not to disclose it to any third party without prior written consent, except as required by law. "Confidential information" includes your Customer Data and Beezifi's proprietary platform technology.

This obligation survives termination of these Terms for a period of three (3) years.

11 Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. BEEZIFI DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Nothing in this clause affects any non-excludable statutory rights you may have under applicable consumer protection law.

12 Limitation of Liability

To the maximum extent permitted by applicable law, Beezifi's total cumulative liability arising out of or related to these Terms or the Service — whether in contract, tort, or otherwise — shall not exceed the total fees paid by you for the Service in the three (3) months immediately preceding the claim.

In no event shall Beezifi be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption, even if advised of the possibility of such damages.

13 Indemnification

You agree to indemnify, defend, and hold harmless Beezifi Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14 Termination

By You

You may close your Workspace at any time from within the platform settings. Access will continue until the end of your current paid period. No partial refunds are issued for unused time.

By Beezifi

We may suspend or terminate your Workspace immediately and without notice if you breach these Terms, engage in fraudulent activity, or create legal risk for Beezifi. In non-urgent cases, we will provide at least 14 days' notice before termination.

Effect of Termination

  • Upon termination, your access to the Service ceases
  • Your Customer Data is retained for 30 days to allow export, then permanently deleted
  • Sections that by nature should survive termination (including Sections 6, 10, 11, 12, 13, and 15) remain in effect

15 Governing Law

These Terms are governed by and construed in accordance with the laws of the state of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising out of or in connection with these Terms.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
